Если компания RAK IC намерена вести деятельность за пределами Зоны, но на территории ОАЭ, ей необходимо получить соответствующую лицензию от компетентного органа ОАЭ. Однако, компании RAK IC вправе пользоваться на территории Зоны услугами правовых консультантов, бухгалтеров, управляющих компаний, хранить финансовую документацию на территории Зоны, проводить собрания директоров и участников компании в пределах Зоны, иметь банковский счет для операций в рамках своей обычной деятельности и владеть определенными активами на территории Зоны. Компания должна иметь зарегистрированный офис , которым может быть офис на территории Зоны, управляемый самой компанией, либо офис на территории Зоны или остальной территории ОАЭ, управляемый регистрационным агентом компании. Компания RAK IC должна иметь регистрационного агента , расположенного на территории Зоны либо остальной территории ОАЭ. Компания должна иметь не менее 1 директора . Также компания должна иметь секретаря. Функции секретаря могут выполняться директором. Заседания директоров и собрания участников компании могут проводиться в любом месте и в любое время. Требования к минимальному размеру акционерного капитала отсутствуют. Акции могут быть номинированы в дирхамах ОАЭ или долларах США. Выпуск акций на предъявителя допускается, но их держателем выступает регистрационный агент, которому такое право предоставлено уполномоченным органом. Финансовая документация компании. Компания должна хранить бухгалтерскую документацию, которая позволяла бы показать и обосновать ее транзакции, а также позволяла бы на любой момент времени с достаточной точностью определить финансовое состояние компании. Место хранения бухгалтерской документации определяется директорами компании и должно быть в любое время доступно для инспектирования директорами и секретарем компании. Указанные документы должны храниться в течение 7 лет с даты их оформления. Отчетность компании. Директора компании должны подготавливать отчетность за период, не превышающий 18 месяцев с даты регистрации компании, либо, если компания ранее подготавливала отчет о прибылях и убытках, за период, начинающийся с окончания периода, по которому был подготовлен последний отчет. Подготовка отчетности осуществляется в соответствии с общепринятыми принципами бухгалтерского учета, одобренными Регистром и верно отражать состояние прибыли и убытков компании за соответствующий период. Финансовый отчет компании утверждается и подписывается директором (директорами) компании. Подача отчетности в государственные органы не требуется. 2. Компании в зонах свободной торговли ОАЭ. Компании-резиденты зон свободной торговли ОАЭ, как и оффшорные компании, пользуются полным освобождением от налогов (для них отсутствует корпоративный налог на прибыль, на прирост капитала, налог у источника и НДС). Возможно 100-процентное иностранное владение компанией свободной зоны в ОАЭ. Отсутствует требование, чтобы директор и/или акционер компании были резидентами ОАЭ. Компанией можно управлять единолично. Требуется оплата уставного капитала. Минимальный размер капитала составляет 100000 AED (около 27000 USD). Требуется наличие реального (физического) офиса на территории ОАЭ. Требуется сдача бухгалтерской отчетности и проведение аудита. Компании свободных зон могут получать сертификаты о налоговом резидентстве в ОАЭ и пользоваться заключенными ОАЭ соглашениями об избежании двойного налогообложения. Компании могут регистрироваться в следующих свободных зонах: Ras Al Khaimah Free Trade Zone, Dubai Free Zone, Jebel Ali Free Zone, JLT Free Zone, Fujairah Free Zone и др. Компании свободных зон могут вести деятельность в пределах свободных зон ОАЭ, а также за пределами территории ОАЭ. Компании не вправе вести бизнес на основной территории ОАЭ (последнее возможно только через местного агента или дистрибьютора). Для работы в свободных зонах компании должны получить лицензию. Возможно получение лицензий следующих типов в зависимости от видов деятельности: коммерческая, общеторговая, лицензия на консультационные и прочие услуги, промышленная. 3. Местные (резидентные) компании в ОАЭ. Местные компании ОАЭ также пользуются полным освобождением от налогов (для них отсутствует корпоративный налог на прибыль, на прирост капитала, налог у источника и НДС). Исключение составляют компании нефтегазового сектора и иностранные банки. Однако, местные компании в ОАЭ не могут иметь 100-процентного иностранного владельца. Необходимо иметь партнера-резидента ОАЭ (юридическое или физическое лицо) с долей в компании не менее 51%. Таким образом, максимальная доля иностранного участника в местной компании может составлять 49%. Партнеры несут ответственность по обязательствам компании и распределяют прибыль в соответствии с заключаемым между ними соглашением. Требуется директор, являющийся резидентом ОАЭ. Требуется оплата уставного капитала. Требуется наличие реального (физического) офиса на территории ОАЭ. Требуется сдача бухгалтерской отчетности и проведение аудита. Местные компании могут получать сертификаты о налоговом резидентстве в ОАЭ и пользоваться заключенными ОАЭ соглашениями об избежании двойного налогообложения. Местные компании могут вести деятельность как на территории ОАЭ, так и вне ее. ОАЭ и международный обмен налоговой информацией. ОАЭ не заключили ни одно соглашение об обмене налоговой информацией и не является участником Конвенции ОЭСР о взаимной административной помощи по налоговым делам. ОАЭ имеют действующие соглашения об избежании двойного налогообложения со следующими странами: Алжир, Армения, Австрия, Азербайджан, Беларусь, Бельгия, Босния и Герцеговина, Болгария, Канада, Китай, Чехия, Египет, Эстония, Финляндия, Франция, Грузия, Германия, Индия, Индонезия, Ирландия, Италия, Казахстан, Южная Корея, Латвия, Ливан, Люксембург, Малайзия, Мальта, Маврикий, Монголия, Марокко, Мозамбик, Нидерланды, Новая Зеландия, Пакистан, Панама, Филиппины, Польша, Португалия, Румыния, Сербия, Сейшельские острова, Сингапур, Испания, Шри-Ланка, Судан, Швейцария, Сирия, Таджикистан, Таиланд, Тунис, Турция, Туркменистан, Украина, Узбекистан, Венесуэла, Вьетнам, Йемен.
